These Terms of Service (“Terms”) govern your access to and use of Conduit, a payment operations platform operated by MPQ Solutions (“Conduit,” “we,” “us”). By creating an account or using the service, you agree to these Terms on behalf of your organization (“you” or the “Organization”). If you don’t agree, don’t use Conduit.
Conduit provides embeddable payment and donation forms, a fee-calculation engine, automated syncing of transactions to your connected CRM and accounting systems, and an admin dashboard for managing forms, integrations, and reporting. We may add, change, or remove features over time.
You must provide accurate account information and keep it current. You are responsible for the activity of all users under your account and for keeping credentials secure. Conduit is offered to organizations in the United States; you represent that you are authorized to bind your Organization to these Terms.
Conduit uses Stripe to process payments. To collect payments, your Organization must create and connect a Stripe account and agree to the Stripe Connected Account Agreement and applicable Stripe Services Agreement. Your use of Stripe is governed by Stripe’s terms, and Stripe — not Conduit — is responsible for processing, settling, and disbursing funds. Conduit never takes custody of your funds.

Our handling of personal information is described in our Privacy Policy. As between you and Conduit, your Organization is the controller of your payers’ and donors’ personal information, and Conduit processes it on your behalf to provide the service. You are responsible for having a lawful basis to collect and sync that information to your connected systems.
Conduit and MPQ Solutions retain all rights in the platform, including its software, design, and trademarks. We grant you a non-exclusive, non-transferable right to use the service during your subscription. You retain all rights in your own data and content.
Each party may receive non-public information from the other. The receiving party will protect it with reasonable care and use it only to provide or use the service, except where disclosure is required by law.
The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that syncing to third-party systems will always succeed, since those systems are outside our control.
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability arising out of or relating to the service will not exceed the amounts you paid to Conduit in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
You will defend and indemnify Conduit and MPQ Solutions against claims, losses, and expenses arising from your use of the service, your content or transactions, or your violation of these Terms or applicable law.
These Terms apply while you use Conduit. You may stop using the service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or fail to pay. On termination, your right to use the service ends; provisions that by their nature should survive (e.g. fees owed, disclaimers, liability limits, indemnity) will survive.
We may update these Terms from time to time. When we make material changes, we’ll update the “Last updated” date and, where appropriate, notify you through the dashboard or by email. Continued use after changes take effect means you accept the revised Terms.
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws rules, and the state and federal courts located in Kentucky will have exclusive jurisdiction, except where applicable law provides otherwise.
